Annual Corporate Compliance for a Brazilian Ltda: Accounts, Filings and Records

Yearly duties of a Brazilian Ltda: approval of accounts by April 30, registry filings, administrators, audit, beneficial owners and BCB reports.

Solidy ConsultingOct 15, 2026

Monthly taxes and payroll get attention because they come with due dates and penalties every month. The annual corporate obligations of a Brazilian subsidiary are easier to forget: the quotaholders’ approval of the accounts, the filing of the minutes, the update of beneficial ownership and the Central Bank declarations. They rarely cause a crisis in the year they are missed. They surface later, when the group wants to pay a dividend, change an administrator, sell the subsidiary or pass a due diligence. This guide covers the annual cycle of a limited liability company (Ltda), the form most foreign groups use in Brazil.

The annual approval of accounts

The Civil Code requires the quotaholders of an Ltda to meet at least once a year, within the four months after the end of the fiscal year, to (article 1,078):

  • review and approve the administrators’ accounts;
  • resolve on the balance sheet and the income statement;
  • appoint administrators, when applicable.

For a calendar-year company, the deadline is April 30. The documents must be available to quotaholders who are not administrators at least 30 days before the meeting. Approval without reservations releases the administrators from liability for those accounts, except in cases of error, fraud or simulation, which can be challenged within two years.

Meeting, assembly or written resolution

  • Written resolution: when all quotaholders sign a written decision, no meeting is needed (article 1,072, paragraph 3). For a subsidiary with one or two group quotaholders, this is usually the simplest route.
  • Meeting (reunião) or assembly (assembleia): an assembly is mandatory only when there are more than ten quotaholders. Calling formalities are waived when everyone attends or declares in writing that they are aware of the date, time and agenda.
  • Remote participation: quotaholders may attend and vote remotely, and the meeting may be fully digital (article 1,080-A, introduced in 2020), following the procedures of the federal business registration department (DREI).

Approving the accounts requires a majority of the votes present, unless the articles of association set a higher quorum. Quorum rules were changed by Law 14,451/2022, so articles drafted before then may still repeat the old percentages and should be reviewed.

Filing the minutes

The minutes must be filed with the state Commercial Registry (Junta Comercial) within 20 days (Civil Code, article 1,075). Under the business registration law, documents filed within 30 days of signature take effect from the date of signature; after that, only from the date of the registry’s decision (Law 8,934/1994, article 36). When the foreign parent signs abroad, the signature, apostille and sworn translation of any foreign document must be planned within those dates (see apostille and sworn translation for parent company documents).

Administrators: terms, appointments and the resident representative

The annual meeting is also when administrators are reappointed or replaced if their terms end. An administrator appointed in a separate document must sign the instrument of investiture within 30 days, or the appointment lapses, and the appointment must be registered within 10 days. A departure also has to be registered.

An Ltda can have an administrator who lives abroad. DREI rules require non-resident administrators and quotaholders, including the foreign parent, to appoint a representative in Brazil with powers to receive service of process. For administrators, the representative must remain in place for at least three years after the end of the term. See who can be the administrator of a Brazilian subsidiary.

Financial statements: audit and publication

Under Law 11,638/2007, “large companies”, meaning those with total assets above R$240 million or annual gross revenue above R$300 million in the previous year (individually or as a group under common control), must follow the Corporations Law accounting rules and be audited by an independent auditor registered with the Brazilian Securities Commission (CVM), even if organized as an Ltda.

Whether a large Ltda must also publish its financial statements has been debated for years. The law does not expressly require it, and in 2023 the Superior Court of Justice (STJ) decided that it does not. Filing the balance sheet with the Commercial Registry is optional under DREI rules. Groups should still confirm the current practice of the registry in the subsidiary’s state.

Profit distribution follows approved accounts

Dividends must come from actual profits. Quotaholders must return amounts distributed to the detriment of the company’s capital, even if the articles authorized the distribution (Civil Code, article 1,059), and administrators and quotaholders are jointly liable for distributing fictitious profits. Interim distributions based on interim balance sheets are possible when the articles provide for them. For the parent, this means the annual approval of accounts is the basis for paying dividends, which are subject to 10% withholding tax since 2026 (see Brazil’s 10% tax on dividends paid abroad).

The annual calendar

When What Basis
By March 31 Central Bank SCE-IED periodic declaration (annual for total assets of R$100 million or more; five-yearly for base dates ending in 0 or 5) Resolution BCB 278/2022
By April 30 Quotaholders approve the accounts and resolve on administrators Civil Code, article 1,078
Within 20 to 30 days of signature Minutes filed with the Commercial Registry Civil Code, article 1,075; Law 8,934/1994, article 36
Last business day of June Digital accounting bookkeeping (ECD) filed with the Federal Revenue Normative Instruction RFB 2,003/2021
Last business day of July Digital tax bookkeeping (ECF), with the annual corporate income tax calculation Normative Instruction RFB 2,004/2021
Quarterly, if total assets are R$300 million or more Central Bank SCE-IED quarterly declarations Resolution BCB 278/2022
By December 20 Payment of the 13th salary (first half paid earlier in the year, usually by November 30) Law 4,749/1965
By the last day of the year Annual update of beneficial ownership in the CNPJ register, even without changes Normative Instruction RFB 2,119/2022

Two annual returns that foreign groups may still see in old checklists no longer exist as separate filings: the annual withholding return (DIRF), replaced by monthly eSocial and EFD-Reinf information from 2025, and the RAIS employment report, now collected through eSocial. Municipal licenses and permits vary by city and should be added to the calendar locally.

The Central Bank declarations are explained in our guide to SCE-IED foreign direct investment reporting, and the monthly cycle in monthly tax compliance in Brazil.

Responsibilities: subsidiary and headquarters

  • The parent, as quotaholder, approves the accounts and appoints the administrators, usually by written resolution signed abroad.
  • The administrators in Brazil present the accounts, sign the filings and answer for compliance.
  • The accounting and corporate team prepares the financial statements, drafts the resolution, files it with the registry and keeps the corporate books and registers up to date.
