Tech companies grow fast. Your accounting has to keep pace.
SaaS companies, software firms, startups and Brazilian subsidiaries of foreign tech companies: recurring revenue metrics, software taxation, service exports, cross-border payments to foreign vendors and investor readiness.
Four business models, four ways to read the numbers.
SaaS and subscriptions
Recurring revenue, churn and revenue recognition contract by contract.
Growth-stage startups
Cash burn, funding rounds and a clean cap table.
Software firms and systems integrators
Projects, billable hours and margin by customer and by contract.
Foreign subsidiaries
Headquarters reporting, cross-border payments and transfer pricing, all in English.
Where tech companies overpay, or take on risk.
ISS, not ICMS
Since 2021, Brazil's Supreme Court (STF) has held that software licensing is subject to ISS, the municipal service tax. Contracts and invoices need to reflect that.
Simples, Presumido or Real
Under Simples Nacional, Factor R determines the annex and changes the tax rate. Outside it, choosing the right regime matters even more.
Services sold abroad
Exported services may qualify for tax relief, provided they meet the requirements on where the result is delivered and on the inflow of foreign currency.
Cloud and licenses from abroad
Payments to foreign vendors may trigger withholding income tax (IRRF), CIDE, PIS/Cofins-import and IOF, depending on the nature of the service.
Lei do Bem
Companies taxed under Lucro Real (the actual profits method) that invest in research and development can lower their tax bill through the R&D incentives of Law 11,196/2005.
CBS and IBS for digital
Software and digital services, including those purchased from abroad, come under the rules of the new taxes during the transition.
Ready for the next round, before investors ask.
In due diligence, what holds up the check is rarely the product. It's books that don't tie out to the metrics, a missing contract and the exposure no one mapped.

- Revenue recognized by contract, tying out to MRR
- Up-to-date cap table and shareholders' agreement
