SPED Explained: ECD, ECF and Brazil’s Digital Bookkeeping

What SPED is and how Brazil's two annual digital filings work: the ECD accounting books and the ECF tax return, deadlines, corrections, penalties.

Solidy ConsultingSep 24, 2026Reviewed by Rocélio Tenório

Brazilian companies do not just keep accounting books: they file them with the Federal Revenue in a standard digital format, every year, signed with a digital certificate. The same applies to the corporate income tax calculation, and most monthly tax and payroll data travel through the same public digital bookkeeping system, known as SPED. For a foreign group, this has a practical consequence: the Brazilian tax authority sees the subsidiary’s full general ledger, and any change to the books after filing has formal rules. This guide explains what SPED is and how its two annual core filings, the ECD and the ECF, work.

What SPED is

SPED (Sistema Público de Escrituração Digital) was created by Decree 6,022/2007 to unify the receipt, validation, storage and authentication of companies’ accounting and tax books and documents. Today it includes:

  • Digital books: ECD (accounting), ECF (corporate income tax), EFD ICMS/IPI (state VAT and excise), EFD-Contribuições (PIS and Cofins), EFD-Reinf (withholdings and other information), eSocial (payroll), e-Financeira (financial institutions) and the Central de Balanços.
  • Electronic tax documents: invoices for goods (NF-e), consumers (NFC-e), services (NFS-e), transport (CT-e) and others.

Because invoices, payroll, tax returns and books all reach the same authority in structured form, the Federal Revenue can cross-check them automatically (see monthly tax compliance in Brazil).

ECD: the accounting books in digital form

The ECD (Escrituração Contábil Digital) is the digital version of the company’s statutory books: the journal and its auxiliary books, the general ledger, trial balances and the balance sheet and other financial statements (Normative Instruction RFB 2,003/2021). It is signed with digital certificates issued under the Brazilian public key infrastructure (ICP-Brasil).

ECD
Who files Companies required by commercial law to keep books, which includes every company under Lucro Real. Exempt: Simples Nacional companies, inactive companies and, under conditions, Lucro Presumido companies that keep a cash book.
Lucro Presumido exception The exemption is lost if the company distributes, free of withholding tax, profits above the presumed tax base less taxes. Most foreign-owned subsidiaries under Lucro Presumido therefore file the ECD.
Deadline Last business day of June of the following year
Corrections No “amended return”: an ECD can be replaced only for errors that cannot be fixed by later entries, with a verification statement signed by the accountant and, for audited companies, by the independent auditor
Penalties Under Law 8,218/1991, article 12: for late filing, 0.02% of gross revenue per day, capped at 1%; for omissions or errors, 5% of the amount concerned, also capped at 1% of revenue; reductions apply when the company files before being notified

For group reporting, the replacement rule matters. Audit adjustments agreed with the group auditor after the ECD has been filed cannot simply be posted back into the filed year. The Brazilian close should therefore be aligned with the group audit timetable so that the ECD, filed by the end of June, reflects the final numbers (see BR GAAP vs IFRS).

ECF: the corporate income tax return

The ECF (Escrituração Contábil Fiscal) is the annual corporate income tax (IRPJ) and CSLL return (Normative Instruction RFB 2,004/2021). Under Lucro Real, it is also the official book of tax adjustments, the e-LALUR and e-LACS, where additions, exclusions and the balances carried forward, such as tax losses, are recorded.

ECF
Who files All legal entities, centrally by the head office, except Simples Nacional companies, public bodies and inactive companies
Deadline Last business day of July of the following year
Link with the ECD The ECF imports the chart of accounts and balances of the ECD, which are mapped to the Federal Revenue’s referential chart of accounts
Corrections An amended ECF is possible without authorization, but cannot change the tax regime; if a replacement ECD changes the imported balances, an amended ECF is mandatory
Penalties (Lucro Real) For late filing, 0.25% per month of the profit before IRPJ and CSLL, capped at 10% and at R$5 million (R$100,000 for revenue up to R$3.6 million), with reductions for voluntary filing; for inaccuracies, 3% of the amount omitted

What foreign groups find in the ECF

  • Transfer pricing information: since the 2024 calendar year, companies with controlled transactions report them under the arm’s length rules of Law 14,596/2023 in a dedicated block.
  • The Country-by-Country Report: filed in the ECF, under the rules on which group member must file, for groups above the thresholds (consolidated revenue of €750 million in the previous year, for groups with a foreign ultimate parent).
  • Foreign income and holdings where applicable.

The minimum tax under Pillar Two, collected in Brazil as an Additional CSLL, is reported and paid under its own rules, not in the ECF.

The referential chart of accounts

Brazil does not impose a single chart of accounts, but each account in the ECD must be mapped to the Federal Revenue’s referential chart. Foreign groups that use a global chart of accounts in their ERP can keep it, provided the Brazilian ledger maintains this mapping. A poor mapping is one of the most common causes of inconsistencies between ECD, ECF and other returns.

Practical points for headquarters

  1. Plan the year-end around June and July: group audit adjustments should be in the Brazilian books before the ECD is filed.
  2. Keep the books in Portuguese and reais, with the mapping to the group chart of accounts and to the referential chart maintained throughout the year.
  3. Know who signs: the filings are signed with digital certificates, so the subsidiary needs valid certificates for its representatives and its accountant.
  4. Reconcile before filing: the ECF should agree with the monthly tax payments and returns already filed during the year.
  5. Treat changes after filing as exceptions: replacing an ECD has formal requirements and may trigger an amended ECF.
